ShipDesi – Fulfillment Seller Agreement
This Fulfillment Seller Agreement (“Agreement”) is entered into between:
ShipDesi (“Company”, “ShipDesi”, “we”, “our”, or “us”)
and
the individual or business entity using ShipDesi fulfillment services (“Seller”, “Client”, or “you”).
By using ShipDesi fulfillment services, you agree to the terms of this Agreement.
1. Scope of Services
ShipDesi provides third-party logistics (“3PL”) and fulfillment services, including but not limited to:
- Inventory receiving
- Warehousing and storage
- Inventory management
- Pick and pack services
- Shipment processing
- Export logistics coordination
- Courier booking assistance
- Package consolidation
- Return handling (if applicable)
ShipDesi acts solely as a fulfillment and logistics service provider unless otherwise agreed in writing.
2. Inventory Ownership
All inventory stored with ShipDesi remains the property of the Seller.
ShipDesi does not acquire ownership rights over inventory unless explicitly agreed in writing.
The Seller retains full responsibility for:
- Product legality
- Product safety
- Product compliance
- Product quality
- Intellectual property rights
3. Seller Responsibilities
The Seller agrees to:
- Provide accurate SKU and inventory data
- Provide correct product descriptions
- Ensure products comply with Indian and destination-country laws
- Ensure products are legally exportable
- Maintain proper documentation and licenses where required
- Provide accurate customs declarations and values
The Seller shall not provide prohibited or restricted products under ShipDesi policies.
4. Inventory Receiving
ShipDesi may:
- Receive inventory shipments
- Inspect packages externally
- Count inventory units
- Record inventory details
ShipDesi reserves the right to reject:
- Damaged inventory
- Improperly packed shipments
- Restricted goods
- Unlabeled inventory
- Inventory inconsistent with declared information
5. Storage & Warehousing
Inventory shall be stored at ShipDesi-operated or authorized warehouse facilities.
Storage fees may apply based on:
- Volume
- Weight
- SKU count
- Storage duration
- Special handling requirements
ShipDesi reserves the right to reorganize warehouse inventory at its discretion.
6. Fulfillment Services
Upon receiving fulfillment instructions from the Seller, ShipDesi may:
- Pick inventory
- Pack orders
- Label shipments
- Arrange courier dispatch
- Generate shipment tracking information
ShipDesi may utilize third-party logistics and courier providers including:
- DHL
- FedEx
- UPS
- Garudavega
- Other authorized carriers
7. Shipping & Delivery
Delivery timelines are estimates only.
ShipDesi shall not be liable for delays caused by:
- Customs inspections
- Courier disruptions
- Weather events
- Government actions
- Incorrect address information
- Force majeure events
8. Customs & Compliance
The Seller is solely responsible for:
- Product classification
- Customs declarations
- Regulatory approvals
- Import/export compliance
- Duties and taxes
- Product restrictions in destination countries
ShipDesi may rely entirely on information provided by the Seller.
ShipDesi shall not be liable for:
- Customs seizures
- Regulatory penalties
- Product bans
- Import refusals
9. Prohibited Products
The Seller may not store or ship products prohibited under:
- ShipDesi policies
- Indian law
- International shipping regulations
- Destination-country regulations
ShipDesi reserves the right to remove, reject, quarantine, or dispose of prohibited inventory.
10. Fees & Payments
The Seller agrees to pay all applicable fees, including but not limited to:
- Storage fees
- Pick & pack charges
- Shipping charges
- Packaging fees
- Return handling fees
- Customs-related charges
- Value-added service fees
ShipDesi reserves the right to revise pricing upon notice.
Invoices shall be payable according to the agreed billing cycle.
11. Insurance
Unless explicitly agreed otherwise:
- Inventory is stored and shipped at the Seller’s risk.
Optional insurance coverage may be available upon request.
ShipDesi does not guarantee reimbursement for:
- Loss
- Theft
- Damage
- Customs seizure
unless covered by approved insurance policies.
12. Inventory Accuracy & Claims
The Seller must report:
- Missing inventory
- Quantity discrepancies
- Damage claims
within the claim period specified by ShipDesi.
Failure to report within the specified period constitutes acceptance of inventory records.
13. Returns Handling
If return handling services are enabled:
- ShipDesi may receive returned shipments on behalf of the Seller.
ShipDesi does not guarantee:
- Return acceptance by customers
- Product condition upon return
- Re-sale suitability
Additional fees may apply for return inspection or reprocessing.
14. Limitation of Liability
To the maximum extent permitted by law:
ShipDesi shall not be liable for:
- Indirect damages
- Consequential losses
- Loss of profits
- Loss of business
- Loss of goodwill
- Customs actions
- Carrier delays
ShipDesi’s total liability shall not exceed:
- The fees paid for the affected services during the preceding 30 days.
15. Indemnification
The Seller agrees to indemnify and hold harmless ShipDesi against:
- Regulatory claims
- Product liability claims
- Intellectual property disputes
- Customs penalties
- Consumer complaints
- Damages arising from Seller products or actions
16. Suspension & Termination
ShipDesi reserves the right to:
- Suspend fulfillment services
- Reject inventory
- Freeze shipments
- Terminate accounts
for:
- Non-payment
- Policy violations
- Fraud
- Regulatory concerns
- Prohibited products
17. Abandoned Inventory
Inventory remaining unpaid or unclaimed beyond the permitted period may be:
- Returned
- Liquidated
- Destroyed
- Disposed of
at the Seller’s cost and risk.
18. Confidentiality
Both parties agree to maintain confidentiality regarding:
- Pricing
- Operational processes
- Customer information
- Business data
unless disclosure is legally required.
19. Intellectual Property
The Seller retains ownership of:
- Product branding
- Logos
- Trademarks
- Product content
The Seller grants ShipDesi limited authorization to use such materials solely for fulfillment and shipping operations.
20. Force Majeure
ShipDesi shall not be liable for delays or failures caused by:
- Natural disasters
- Government restrictions
- Customs actions
- Carrier disruptions
- Pandemics
- Labor disputes
- Events beyond reasonable control
21. Governing Law
This Agreement shall be governed by the laws of India.
Any disputes shall be subject to the exclusive jurisdiction of courts located in Kerala, India.
22. Amendments
ShipDesi may modify this Agreement from time to time.
Continued use of fulfillment services constitutes acceptance of updated terms.
